Terms of Service
Acceptance of terms
These Terms of Service are an agreement between Packledger and the merchant or company ("you") that uses our website or installs our Shopify app. By accessing the website, installing the app, or using the services, you agree to these terms on behalf of your company and represent that you have authority to do so. If you do not agree, do not use the services.
The service
Packledger provides software that assesses Extended Producer Responsibility (EPR) packaging exposure, maps your products to packaging components, computes estimated obligations under supported state programs, and prepares — and where you authorize it, supports the submission of — EPR compliance reports. Estimates are based on the data available to us and the rules as we have encoded them; supported jurisdictions and program rules change over time.
Not legal advice
Packledger is a compliance-software provider, not a law firm. Nothing in the services constitutes legal advice, and no attorney-client relationship is created. You are responsible for your own regulatory compliance decisions; consult your own counsel for legal questions.
Accounts and access
Access to the app is through your Shopify store. You are responsible for the actions of staff members you allow to use the app, and for maintaining the security of your Shopify accounts. Certain actions (such as billing changes, data export, and filing acknowledgments) are limited to store staff with management permissions.
Subscriptions and billing
Paid plans are billed through the Shopify Billing API on the terms shown at purchase, including any free trial. Plans renew automatically until cancelled; you can change or cancel your plan in the app at any time, effective per the terms shown when you subscribe. Fees are exclusive of taxes, which you are responsible for. Except where required by law or expressly stated, fees are non-refundable.
Your data and responsibilities
You retain all rights to the data from your store and the information you provide, and you grant us a limited license to process it to operate the services. You are responsible for the accuracy and completeness of the product, packaging, and company information you supply or confirm; for reviewing reports and filings before they are submitted; and for meeting your own registration and filing deadlines. You remain the producer of record with each state program.
Filings on your behalf
Where the services include preparing or submitting filings, you authorize us to act as your service provider for that purpose, using the data and confirmations you have provided. Penalties, fines, or interest arising from late registration, missed deadlines outside our control, or data you supplied or confirmed that was incomplete or incorrect remain your responsibility.
Accuracy guarantee
Plans that include an accuracy guarantee cover the verified set of items identified in your service agreement, per the written guarantee terms provided with that plan. The guarantee does not cover late-registration fines, SKUs or packaging you did not disclose, or errors in data you provided or confirmed.
Acceptable use
You may not misuse the services — including attempting to access another merchant's data, probing or disrupting the systems, reverse engineering the software, reselling the services without our agreement, or using them to violate any law. We may suspend access that threatens the security or integrity of the services.
Intellectual property
The services, including the software, rules encodings, and content we provide, are owned by Packledger and its licensors and are protected by intellectual-property laws. These terms grant you a limited, non-exclusive, non-transferable right to use the services for your own business during your subscription; no other rights are granted.
Third-party services
The services interoperate with third-party platforms, including Shopify and our hosting and infrastructure providers. Your use of Shopify is governed by Shopify's own terms, and we are not responsible for third-party services we do not control.
Disclaimers
Except as expressly stated in these terms or a written guarantee, the services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted or error-free, or that estimates will match amounts ultimately invoiced by any program.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues; and Packledger's total liability arising out of the services is limited to the fees you paid for the services in the twelve months before the event giving rise to the claim. These limits do not apply to your payment obligations or to liability that cannot be limited by law.
Indemnification
You will defend and indemnify Packledger against third-party claims arising from your products or packaging, data you supplied or confirmed, or your violation of these terms or applicable law.
Termination
You may stop using the services at any time by cancelling your plan and uninstalling the app. We may suspend or terminate the services for material breach that remains uncured, or if required by law. On termination, your data is handled as described in our Privacy Policy, including deletion following Shopify's data-erasure process except records we must retain to support filings already made.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, and any disputes will be resolved in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.
Changes to terms
We may update these terms from time to time. Material changes will be communicated in advance through the app or by email, and continued use after changes take effect constitutes acceptance. The version posted here, with its date, is the current agreement.
